  • Represented a corporation in the completion of a multi-million dollar stock exchange involving shareholders and subsidiary organizations (January-July 2014).

  • Represented a non-profit organization in the acquisition of its new headquarters and testing facility (May-December 2014).

  • Represented a non-profit organization in completing the merger of two existing non-profit entities into a single entity (March-October 2013).

  • Served as counsel for one of three lenders involved in the redevelopment of an approximately 1.7 acre site consisting of vacant and abandoned warehouse buildings located in the Midtown Tech Corridor of Cleveland, Ohio. The project was financed by leveraging various forms of investment through a new markets tax credit financing structure, along with various forms of state, county and local economic development incentives and assistance.

  • Represented landowners in the leasing and development of mineral rights, including oil and gas rights in the Utica and Marcellus shale formations.

  • Represented a developer in structuring an historic tax credit transaction and finalizing bank financing for the redevelopment of a former train station into a mixed-use development.

  • Represented a tenant in the leasing of property in the Ohio City neighborhood of Cleveland, Ohio for a hostel.

  • Served as owner's counsel in connection with a real estate loan workout involving a condominium development.

  • Represented landowners in resolving delinquent real estate property tax matters.

  • Represented a non-profit corporation in connection with its leasing and renovation of a new retail space.

  • Served as lender's counsel in connection with a handfull of the 35 sources of funds that were assembled to fund the $272 million initial phase of the Flats East redevelopment project in downtown Cleveland.

  • Served as owner's counsel in connection with the retrofit of existing dams with hydroelectric generators in Pennsylvania and West Virginia. The project utilized the integrated project delivery (IPD) form of delivery method. IPD allows for collaboration among all team members to provide for a more efficient and streamlined process for complex construction projects.

  • Advised and assisted a governmental entity in the administration of a $5 million Energy Efficiency and Conservation Block Grant (EECBG) received from the Department of Energy and funded by the American Recovery and Reinvestment Act (ARRA).

  • Represented a Northeast Ohio-based community development corporation in the formation of a special improvement district (SID).

  • Served as counsel for two of the lenders involved in the redevelopment of a twenty plus acre former manufacturing site in Cleveland, Ohio. The project was financed by leveraging various forms of assistance through a new markets tax credit financing structure, along with various forms of state, county and local economic development incentives and assistance.

  • Served as owner's counsel in connection with the development and operation of a forty (40) unit luxury condominium development in Lake Chautaqua, New York.

  • Served as developer's counsel in the structuring of an historic tax credit transaction for the redevelopment of the American Society of Metals (ASM) modernist designed international headquarters, which features the largest openwork geodesic dome in the world.

  • Served as counsel to the guarantor in negotiating documentation for financing a series of motion pictures filmed in Cuyahoga County, Ohio.
